By-laws
The Kohler Athletic Booster Club operates under an established set of By-laws, which describe how the organization conducts business. Open
elections are held annually to elect Officers of the Club. A Board of Directors, consisting of a President, Vice President, Secretary, Treasurer, and Member at Large governs the Club.

ARTICLE I- ORGANIZATION
Section 1
The Kohler Athletic Booster Club is a non-profit organization under the laws of the State of Wisconsin. Its “Articles of organization” consists of the by-laws and tax-exempt status 501 (c)(3).
ARTICLE II – MISSION STATEMENT
Section 1
The Kohler Athletic Booster Club is an organization comprised of parents, community volunteers and school district personnel that share an interest in enhancing the Kohler High School athletic program. The Booster Club recognizes that participation in high school athletics promotes school spirit, benefits student athletes as individuals, and provides opportunities to build and strengthen relationships among the student body, coaching staff, teaching staff, parents and the community at large. The Booster Club’s primary purpose is to assist in maintaining the history and tradition of excellence in Kohler High School athletics by fundraising and providing supplemental financial support beyond what the school athletic budget provides.
Section 2
This organization shall work closely with the Athletic Director and all school officials.
ARTICLE III – OFFICERS
Section 1
Officers representing the Executive Board shall be a President, Vice-President, Secretary, Treasurer, Member-at-Large. All officers serve on a volunteer basis accepting no monetary compensation for duties performed.
Section 2
The President shall be the principal executive officer of the organization and shall preside at all meeting of the organization. The President shall perform such duties as may be prescribed in the by-laws and shall coordinate the work of the officers and committees of the organization in order that the organization objectives be reached.
Section 3
The Vice-President shall act as an aide to the President, shall perform the duties of the President in his/her absence, and shall perform other duties as assigned by the President.
Section 4
The Secretary shall record the minutes of all meetings of the organization, see that all notices are duly given, be custodian of the organization records, and perform all other duties as assigned.
The Kohler Villager will be the official newspaper of notice for announcements. In the event of a short notice event/meeting cancellations or changes, official notice will be given via email and school web site 48 hours prior to scheduled event/ meeting.
Section 5
The Treasurer shall be the principal accounting and financial officer of the organization. He/she shall keep an accurate and full account of receipts and expenditures have charge and custody of all funds. He/she shall make disbursements as authorized by the Executive Board, and perform all other duties as assigned.
ARTICLE IV – MEMBERSHIP
Section 1
Any person(s) having a child involved in athletics at Kohler Schools automatically becomes a member; however, the involvement is purely voluntary.
Section 2
Any person(s) without children involved in athletics at Kohler Schools, but who subscribes to the purpose and policy of this organization, can become a member by attending meetings and becoming involved in the club activities.
Section 3
Members of the organization are eligible to participate in the business meeting and to serve in its elective or appointive positions.
Section 4
Each member shall be entitled to one vote on each matter submitted to a vote of the members. Voting by proxy is not permitted.
ARTICLE V-MEETINGS
Section 1
At least one general membership meeting in Spring to elect officers and at least one meeting in Fall for new school year business.
Section 2
Special meetings of the members may be called by the President.
Section 3
The Executive Board shall meet annually.
Section 4
A quorum of five (5) members is required to transact business at any general membership meeting. A quorum of three (3) members is required to transact business at an Executive Board meeting.
ARTICLE VI – ELECTIONS
Section 1
The officers shall be elected by ballot at the general meeting in April. However, if there is but one nominee for any office, election for that office may be by voice vote. Officers shall assume their official duties in May and shall serve for a term of two (2) years. President , Treasurer, and Member-at-Large will be elected in odd years. Vice-President and Secretary will be elected in even years.
Section 2
There is no limit on consecutive terms served.
Section 3
There shall be a nominating committee composed of three (3) members who shall be appointed by the Executive Board. The nomination committee shall present
a slate of officers to the Executive Committee at the February meeting. The Nominations will be printed in the March Kohler Villager. Nominations from the floor will be entertained at the general membership meeting in April until nominations are closed. Only those persons who have signified their consent to serve if elected shall be
nominated for or elected to said office.
Section 4
A vacancy occurring in any office shall be filled for the unexpired term by a person elected by a majority of vote of the Executive Board.
Section 5
All officers shall deliver to their successors all official materials no later than ten (10) days following the meeting at which new officers are
installed. New officers will be installed at the May Executive Board meeting.
ARTICLE VII – COMMITTEES
Section 1
The Executive Board may create such standing committees as deemed necessary to carry on the work of the organization.
Section 2
The President of the organization shall be an ex-officio member of all committees except the nominating committee. Only members of the organization shall be eligible to serve in any elective or appointive position.
Section 3
One member of each committee shall be appointed chairperson. The chairperson of each committee shall present an outline of activities to the Executive Board for approval. No committee work shall be undertaken without the consent of the Executive Board. The term of each chairperson shall be one year or less depending on the duration of the committee. These terms are renewable at the discretion of the Executive Board.
ARTICLE VIII – FINANCES
Section 1
All proceeds received in the name of the Kohler Athletic Booster Club shall be used solely to support the objectives as stated in the by-laws.
Section 2
The Kohler Athletic Booster Club shall maintain a checking and/or savings account.
Section 3
The financial accounts will be audited February of odd years by an internal audit committee.
Section 4
The fiscal year shall end July 31
Section 5
The funds raised and/or collected will be distributed between the Athletic programs upon request except for the requirements of Article VIII
Section 6 by coach(es) or the A.D. on behalf of a said program. The Athletic Director shall submit a list in writing two weeks prior to the Executive Board for review, discussion and approval at the May Executive Board Meeting. The board may reject, revise or approve any request for funds. The board will advise the A.D. of their funding decision. All monies will be disbursed by the Executive Board with no more than 25% of each year’s total disbursed to any one (1) athletic program.
In addition to the primary funding in May , KABC may consider secondary funding requests from coaches and the Athletic Director on a case by case basis.
Section 6
At least $400.00 of the funds raised and/or collected will be placed in an account at the start of each fiscal year (August 1-July 31) to be used for operating expenses.
ARTICLE IX – DUES
Section 1
There are no dues at this time.
ARTICLE X – PARLIAMENTARY PROCEDURES
Section 1
Robert’s Rules of Order, Newly Revised, shall govern the organization in all cases in which they are applicable and in which they are not in conflict with these by-laws.
ARTICLE XI – AMMENDMENTS
Section 1
The by-laws may be amended at any regular meeting of the organization by two-thirds (2/3) vote of the members present and voting, provided that notice of
the proposed amendment shall have been given at the previous meeting.
Section 2
A committee may be appointed to submit a revised set of by-laws only by a majority vote at a regular meeting of the organization by a two-thirds (2/3)
vote or the Executive Board. The requirements for adoption of a revised set of by-laws shall be the same as in the case of an amendment.
ARTICLE XII – DISSOLUTION
Section 1
In the event of the dissolution of the organization, all property and its further use shall be turned over to the Kohler Public Schools.
